Terms of Service

Welcome to CorePixel. These Terms of Service ("Terms") govern the legal relationship between you ("Client", "you") and PT COREPIXEL TEKNOLOGI INDONESIA, the legal entity operating the CorePixel brand ("we", "CorePixel"), in relation to your use of https://corepixel.id, communications with us, service orders, and use of all services and digital products that we offer.
By accessing the website, submitting a brief, requesting a quotation, approving a proposal, signing cooperation documents, making payment, creating an account, using a dashboard, or using our services, you represent that you have read, understood, and agreed to these Terms.
For paid services, these Terms apply together with any proposal, order form, invoice, work agreement, Data Processing Agreement, or other special document agreed by the parties. If there is a conflict between these Terms and a special document signed or approved in writing by the parties, the special document will apply to the extent it specifically regulates the relevant matter.
Note: These Terms are prepared for CorePixel digital services, including website development, landing pages, SaaS, AI products, WhatsApp automation, hosting, domains, maintenance, and third-party integrations. Additional terms may apply to certain services.
1. Definitions
In these Terms:
- "CorePixel", "we", "us", or "our" means PT COREPIXEL TEKNOLOGI INDONESIA, a business entity registered in Indonesia and located in Kab. Banjar, South Kalimantan.
- "Client" means an individual or business entity that orders, uses, pays for, or receives Services from CorePixel.
- "User" means an individual granted access by the Client or CorePixel to use a website, dashboard, system, or certain service.
- "End User" means a customer, patient, prospective customer, team member, or other party who interacts with the Client-owned system or service built, provided, or managed by CorePixel.
- "Services" means all CorePixel services, including website development, landing pages, company profiles, SaaS products, AI solutions, chatbots, WhatsApp automation, API integrations, hosting, domains, maintenance, SEO, digital consulting, and related services.
- "SaaS Products" means subscription-based or system-access products provided by CorePixel, including RestoPage, PropertyStudio, Klinikal AI, Lexara AI, or other products developed by CorePixel.
- "Deliverables" means code, designs, pages, content, configurations, documentation, or other materials created by CorePixel specifically for a Client in a particular project.
- "Client Content" means text, images, logos, videos, documents, databases, data, instructions, credentials, promotional materials, and other information provided by the Client to CorePixel or entered into the Services.
- "Third Party" means external service providers such as Meta/WhatsApp, Google, Vercel, Cloudflare, payment gateways, banks, domain providers, hosting providers, email providers, APIs, AI providers, or other vendors.
- "Personal Data" has the meaning given under the Personal Data Protection Law and related regulations.
2. Eligibility and User Authority
By using the Services, you represent and warrant that:
- you are at least 18 years old or otherwise have legal capacity to enter into a binding agreement;
- if you act on behalf of a business entity, company, organization, clinic, restaurant, property developer, firm, or other party, you have valid authority to represent and bind that party;
- the information you provide to CorePixel is true, accurate, complete, and not misleading;
- your use of the Services does not violate law, any agreement with a third party, or the rights of another party.
CorePixel may reject, delay, or terminate Services if we reasonably suspect that you lack authority, provide false information, or use the Services for unlawful purposes.
3. Scope of Services
CorePixel provides digital services, including but not limited to:
- development of company profile websites, business websites, landing pages, and promotional pages;
- development of SaaS products and AI-based solutions for various industries;
- WhatsApp Business API integrations, chatbots, and communication automation;
- reservation systems, admin dashboards, CMS, simple CRM, or internal systems;
- hosting, domains, deployment, and recurring maintenance packages;
- digital strategy consulting, SEO, analytics, and conversion optimization;
- third-party integrations such as payment gateways, analytics, ads, cloud, email, APIs, and other systems.
Specific Service details, scope of work, fees, timelines, deliverables, revision limits, support, and special terms will be stated in a proposal, invoice, order form, work agreement, or other written document agreed by the parties.
CorePixel is responsible only for work expressly included in the agreed scope. Requests outside the initial scope may incur additional fees and/or timeline changes.
4. Work Process for Custom Projects
For project-based services, our work process generally includes:
- Consultation and needs analysis - the Client explains needs, goals, references, and business information.
- Offer and approval - CorePixel prepares a proposal, price, scope, timeline, and payment terms.
- Design - CorePixel prepares visual designs, page structure, or mockups according to the package and scope.
- Development - CorePixel performs coding, configuration, integration, and technical build work.
- Review and revision - the Client reviews the work and provides feedback within the revision limits.
- Launch or handover - the website, system, or work result is released, handed over, or activated according to the agreement.
Client approval may be given through signature, email, WhatsApp, dashboard, payment, or other written/electronic approval that can be evidenced.
Client delays in providing content, access, data, approval, or payment may cause timeline delays without creating liability for CorePixel.
5. Accounts, Access, and Security
For certain Services, Clients or Users may receive access to accounts, dashboards, CMS, repositories, hosting, domains, API keys, tokens, or other credentials.
The Client is responsible for:
- keeping accounts, passwords, OTPs, API keys, tokens, and other credentials confidential;
- ensuring that only authorized parties have system access;
- promptly revoking access for team members who are no longer authorized;
- promptly notifying CorePixel of suspected unauthorized access, credential leaks, or security incidents;
- not sharing access with unauthorized parties;
- using authentication, strong passwords, and other reasonable security measures.
CorePixel is not responsible for losses arising from Client or User negligence in securing accounts, access, credentials, devices, or systems outside CorePixel's control.
6. Payment for Custom Projects
Unless otherwise agreed in writing:
- Down payment: 30% of the total project value is paid before work begins.
- Second-stage payment: 40% of the total project value is paid after the design, concept, or main scope is approved by the Client and before the main development stage continues or is completed, unless otherwise agreed in writing.
- Final payment: the remaining 30% is paid before final files, agreed source code, production access, or launch to the Client's domain is delivered.
- All payments must be made to the official bank account under the name PT COREPIXEL TEKNOLOGI INDONESIA as stated in the invoice or official billing document. Payment to any account other than the official company account is valid only if approved in writing by CorePixel and recorded as company receipt.
- Prices exclude VAT, other applicable taxes, third-party fees, domains, external hosting, font licenses, stock photos, plugins, paid APIs, payment gateway fees, Meta/WhatsApp fees, AI fees, advertising fees, or additional fees outside the initial scope, unless stated otherwise.
- Payment delays of more than 14 calendar days may result in work suspension, access restrictions, launch delays, or termination of cooperation.
CorePixel may withhold deliverables, final files, production access, agreed source code, deployment, or handover until all due payments have been received in full.
7. SaaS Subscriptions, Maintenance, Hosting, and Recurring Services
For subscription-based Services, maintenance, hosting, domains, WhatsApp automation, AI assistants, or other recurring services, the following terms apply unless otherwise agreed in writing:
- subscription fees are paid in advance according to the selected period, such as monthly, annually, or another period;
- subscriptions may renew automatically or manually according to the agreed mechanism;
- payment delays may cause feature restrictions, access suspension, temporary service termination, or service deletion after reasonable notice;
- third-party fees such as domains, hosting, APIs, AI providers, Meta/WhatsApp, payment gateways, email, SMS, ads, or other external services may change at any time according to the relevant provider's policies;
- upgrades, downgrades, or package changes may affect features, capacity, quotas, pricing, and billing periods;
- subscription cancellation does not automatically remove payment obligations that have become due;
- Client data may be temporarily retained after a subscription ends for backup, export, recovery, or legal-obligation purposes, according to the Privacy Policy and applicable agreements.
If the Client does not renew or pay for recurring Services, CorePixel is not required to maintain services, domains, hosting, data, integrations, or access after the applicable grace period ends.
8. Refunds, Cancellation, and Order Changes
8.1 Custom projects
For custom projects, down payments are generally non-refundable after work begins because they are used to allocate time, resources, research, design, project management, and initial work.
If the Client unilaterally cancels a project after work begins:
- the down payment is not refunded;
- if completed work exceeds the value of payments received, the Client must pay proportionally for work already performed;
- unpaid deliverables do not have to be handed over by CorePixel.
If CorePixel terminates a project for internal reasons not caused by the Client, CorePixel will refund payment proportionally for work not yet performed, after deducting third-party costs already incurred and work already completed.
8.2 Subscription services
For subscription services, payments already made are generally non-refundable, unless required by law or approved in writing by CorePixel. Cancellation applies to the following period and does not remove payment obligations already due.
8.3 Third-party fees
Third-party fees such as domains, hosting, licenses, plugins, APIs, payment gateways, Meta/WhatsApp fees, AI fees, ads, or other external costs that have been paid are generally non-refundable, unless the relevant third-party provider provides a refund.
This refund provision applies to the extent permitted by applicable law and does not reduce consumer rights that cannot be waived under laws and regulations.
9. Revisions, Scope Changes, and Additional Work
Unless otherwise agreed in a proposal:
- each package includes 3 design revisions and 3 development revisions;
- revisions must remain within the agreed initial scope;
- revisions do not include major concept changes, major structural changes, new features, new integrations, major flow changes, additional data migration, platform changes, or work not previously agreed.
Requests that change the concept, structure, main features, integrations, major design direction, or initial project objective are considered additional work and may incur additional fees and timeline changes.
CorePixel may reject revision requests that are unreasonable, unlawful, infringe third-party rights, compromise system security, or fall outside the agreed scope.
10. Completion Dates and Client Dependencies
Completion estimates are best-effort and will be stated in the proposal or project communication.
Timelines may change due to:
- Client delays in providing content, data, access, decisions, or approval;
- payment delays;
- additional revisions or scope changes;
- reasonable technical constraints;
- dependence on third parties such as domains, hosting, APIs, Meta/WhatsApp, payment gateways, or cloud providers;
- force majeure;
- other factors outside CorePixel's reasonable control.
CorePixel will seek to communicate timeline changes reasonably. Delays caused by the Client or third parties are not grounds for penalties against CorePixel, unless otherwise agreed in writing.
11. Intellectual Property Rights
11.1 Client Content
All Client Content remains owned by the Client or the lawful rights holder. The Client grants CorePixel a non-exclusive, royalty-free, limited license to use, copy, modify, display, upload, integrate, and process Client Content as necessary to provide the Services.
The Client represents and warrants that the Client has lawful rights, permissions, licenses, and authority over all Client Content provided to CorePixel.
11.2 Deliverables for custom projects
Unless otherwise agreed in writing:
- before full payment, all Deliverables remain owned by CorePixel;
- after full payment, the Client receives commercial usage rights to the final Deliverables for the relevant project;
- the transfer of usage rights does not include internal tools, boilerplates, frameworks, libraries, internal templates, workflows, methods, internal documentation, reusable components, or technology already owned/developed by CorePixel before or outside the Client project;
- source code is handed over only if expressly included in the proposal or agreement;
- if source code is handed over, CorePixel may still use knowledge, experience, general ideas, patterns, reusable components, and non-confidential work methods for other projects.
11.3 SaaS Products and CorePixel products
For SaaS Products such as RestoPage, PropertyStudio, Klinikal AI, Lexara AI, dashboards, templates, internal systems, or other CorePixel-owned products, the Client receives only a limited, non-exclusive, non-transferable, revocable right to use the product during the active subscription period.
No ownership, copyright, source code, or intellectual property rights in SaaS Products are transferred to the Client, unless expressly agreed otherwise in writing.
11.4 Portfolio
CorePixel may display names, logos, screenshots, short descriptions, or general project results in CorePixel portfolios, marketing materials, case studies, and social media, unless the Client requests otherwise in writing.
CorePixel will not intentionally display confidential data, personal data, credentials, internal dashboards, financial information, or sensitive Client information without permission.
12. Personal Data, DPA, and Client Compliance
Processing of Personal Data in the Services is subject to the CorePixel Privacy Policy and, where relevant, a Data Processing Agreement or other agreed data processing agreement.
For data of CorePixel website visitors, prospective clients, and clients, CorePixel generally acts as a Personal Data Controller.
For End User Personal Data collected, entered, sent, or processed by a Client through systems, SaaS, AI assistants, WhatsApp automation, dashboards, or other services provided by CorePixel, CorePixel may act as a Personal Data Processor based on the Client's instructions.
The Client is responsible for:
- ensuring a lawful basis for collecting and processing Personal Data;
- providing adequate privacy notices to End Users;
- obtaining consent where required;
- ensuring data entered into the system is accurate, relevant, and not excessive;
- not entering sensitive data unless necessary, lawful, and adequately protected;
- handling Personal Data Subject rights requests from End Users;
- fulfilling legal obligations applicable to the Client's business sector.
If the Client's use of the Services requires a Data Processing Agreement, the parties will arrange it separately. If there is no separate Data Processing Agreement, these Terms and the Privacy Policy apply to the extent relevant.
13. AI Services, Chatbots, and Automation
AI-based services, chatbots, WhatsApp automation, and other automation features are provided to support communication, administration, customer service, reservations, scheduling, information management, and Client operational support.
The Client understands and agrees that:
- AI output may be incomplete, inaccurate, not always context-appropriate, or require further verification;
- AI output must not be treated as medical, legal, financial, psychological, tax, or other professional advice;
- for specially regulated sectors, such as clinics, healthcare, beauty, law, finance, education, or services involving children, the Client must provide adequate human oversight and escalation procedures;
- an AI assistant must not be used as the sole basis for decisions that significantly affect a person's rights, safety, health, legal obligations, or important interests;
- the Client is responsible for instructions, data, configuration, prompts, knowledge base, answer limits, and use of AI output in the Client's business;
- CorePixel may use third-party AI providers or infrastructure to operate the Services, subject to applicable agreements and processing bases.
CorePixel is not responsible for losses, claims, sanctions, or disputes arising from the Client's use of AI output without adequate verification, violations of Client-sector regulations, or instructions/configurations provided by the Client.
14. WhatsApp, Meta, API, and Third-Party Service Integrations
Certain Services may depend on third parties such as Meta, WhatsApp Business Platform, Google, Vercel, Cloudflare, payment gateways, domain providers, hosting, email, SMS, AI providers, or other APIs.
The Client understands and agrees that:
- use of third-party services is subject to the terms, policies, rates, limitations, and approval processes of each provider;
- CorePixel does not control third-party decisions related to business verification, account suspension, API changes, pricing changes, downtime, feature restrictions, or policy changes;
- third-party fees may change at any time and may be charged to the Client where relevant;
- delays, interruptions, or failures caused by third parties are not considered CorePixel breaches as long as CorePixel has made reasonable efforts;
- the Client must comply with relevant platform policies, including anti-spam policies, message templates, consent, opt-in, message categories, and prohibited content.
CorePixel may assist the technical integration process with third parties, but does not guarantee approval, activation, uptime, performance, or business decisions by third parties.
15. Permitted and Prohibited Use
The Client agrees to use the Services lawfully, reasonably, and in accordance with laws and regulations of the Republic of Indonesia.
The Client is prohibited from using the Services for:
- unlawful, fraudulent, harmful, or misleading activities;
- sending spam, unauthorized bulk messages, phishing, scams, malware, viruses, or harmful content;
- illegal gambling, illegal pornography, child exploitation, trade in illegal goods/services, or activities that violate morality or law;
- infringing intellectual property, privacy, personal data, trade secrets, or third-party rights;
- collecting, processing, or sharing Personal Data without a lawful basis;
- scraping, reverse engineering, unauthorized penetration testing, security bypassing, or system disruption;
- misusing WhatsApp Business API, Meta Platform, payment gateways, cloud providers, or other third-party services;
- distributing content containing hate speech, discrimination, threats, violence, or legally prohibited content;
- using the Services for automated decisions that significantly affect a person without adequate human oversight;
- any other action that CorePixel reasonably considers harmful to CorePixel, other Clients, Users, third parties, or the reputation of the Services.
CorePixel may reject, restrict, suspend, or terminate Services if there is suspected violation of this section.
16. Client Responsibilities
The Client is responsible for:
- providing content, data, briefs, access, and approvals on time;
- ensuring all information provided to CorePixel is true, accurate, and not misleading;
- ensuring Client Content does not infringe copyright, trademarks, privacy, trade secrets, personal data, or third-party rights;
- obtaining permissions, licenses, consents, and legal bases necessary to use content, data, software, APIs, or third-party services;
- complying with laws applicable to the Client's business, sector, and services;
- reviewing and approving work results before publication;
- keeping accounts, access, credentials, and devices under the Client's control secure;
- paying Service fees and relevant third-party fees on time;
- using the Services in accordance with these Terms and applicable cooperation documents.
Violation of these obligations may be grounds for Service suspension or termination without refund, to the extent permitted by law.
17. Warranty and Post-Launch Support
For custom projects, CorePixel provides free support for 30 calendar days after launch or handover, unless otherwise agreed in the proposal.
Free support includes:
- fixing functional bugs in features developed by CorePixel within the project scope;
- small technical assistance related to using a CMS or dashboard provided;
- minor corrections to errors originating from CorePixel implementation.
Free support does not include:
- content, design, structural changes, or new feature additions;
- requests outside the initial scope;
- issues caused by Client or third-party modifications;
- hosting, domain, API, plugin, Meta/WhatsApp, payment gateway, or external service disruptions outside CorePixel's control;
- plugin/library security updates after the support period ends;
- data migration, redesign, advanced optimization, or additional business consulting.
After the free support period ends, support is available through a maintenance package or separate agreement.
18. Service Availability, Maintenance, and Downtime
CorePixel will make reasonable efforts to keep the Services available and functioning properly. However, CorePixel does not guarantee that the Services will always be available without interruption, error, delay, data loss, or downtime.
Services may be interrupted due to:
- scheduled or emergency maintenance;
- system, security, library, or infrastructure updates;
- disruptions to third-party services;
- cyberattacks, spam, DDoS, malware, or unauthorized access;
- configuration errors made by the Client or third parties;
- force majeure;
- other technical factors outside CorePixel's reasonable control.
If a special SLA package is available, uptime, response time, support priority, and compensation will be regulated in a separate document. Without a written SLA, Services are provided on a reasonable best-effort basis.
19. Disclaimer
To the extent permitted by applicable law:
- Services are provided according to the agreed scope and on an as is and as available basis;
- CorePixel does not guarantee that Services will always be error-free, uninterrupted, vulnerability-free, or suitable for all purposes not expressly agreed;
- CorePixel does not guarantee specific search-engine rankings, lead numbers, sales numbers, Meta/WhatsApp approval, advertising performance, conversion rates, or specific business outcomes;
- CorePixel is not responsible for Client business decisions based on data, analytics, recommendations, or AI output without adequate verification;
- CorePixel does not provide legal, medical, tax, financial, or other professional advice unless expressly agreed and provided by an authorized professional.
Nothing in these Terms is intended to exclude liability that cannot be excluded under applicable laws and regulations.
20. Limitation of Liability
To the extent permitted by applicable law:
- CorePixel is not liable for indirect, incidental, special, consequential losses, loss of profits, loss of revenue, loss of data, loss of reputation, loss of business opportunity, or third-party claims arising from use of the Services;
- CorePixel's total liability for any claim arising from or relating to the Services will not exceed the amount paid by the Client to CorePixel for the relevant project or service in the 12 months before the claim arose;
- CorePixel is not liable for losses arising from Client Content, Client instructions, data provided by the Client, Client negligence, third-party services, platform policy changes, or unlawful use of the Services.
This limitation of liability does not apply where prohibited by law, including liability arising from intent, gross misconduct, or consumer rights that cannot be waived under laws and regulations.
21. Client Indemnity
The Client agrees to defend, indemnify, and hold harmless CorePixel, its directors, employees, contractors, affiliates, and representatives from any claims, demands, losses, costs, fines, sanctions, liabilities, and expenses arising from or relating to:
- Client Content, data, instructions, materials, logos, images, videos, brands, documents, or information provided by the Client;
- Client infringement of intellectual property rights, privacy rights, personal data protection rights, trade secrets, or third-party rights;
- use of the Services by the Client or End Users in violation of law, these Terms, or third-party platform policies;
- Client failure to obtain required consent, legal basis, permission, license, or notice to process data, content, or transactions;
- misuse of accounts, API keys, credentials, integrations, dashboards, or system access under the Client's control;
- claims from customers, patients, end users, regulators, or third parties arising from the Client's business, services, products, content, data, or instructions.
This indemnity obligation survives termination of cooperation between the Client and CorePixel.
22. Suspension and Termination of Services
CorePixel may suspend, restrict, or terminate Services with reasonable notice if:
- the Client is late in paying due fees;
- the Client violates these Terms or related cooperation documents;
- the Client uses the Services for illegal, harmful, fraudulent, spam, or third-party-rights-violating activities;
- the Client's use of the Services creates security, legal, reputational, or operational risk for CorePixel or other parties;
- required by law, regulators, courts, competent authorities, or third-party providers;
- third-party services required to operate the Services are discontinued, restricted, or no longer available.
Either party may terminate cooperation if the other party commits a material breach that is not remedied within 14 calendar days after receiving written notice.
Termination of Services does not remove payment obligations already due, confidentiality obligations, indemnity obligations, limitation of liability, intellectual property provisions, and other provisions that by their nature survive termination.
23. Data Export and Deletion After Termination
For SaaS services or systems that store Client data, the Client may request data export in a reasonable format where technically available and not in violation of law or another party's rights.
After Services end, CorePixel may retain Client data for a limited period for backup, recovery, administration, dispute resolution, security, or legal-obligation purposes. After that period, data may be deleted, anonymized, or made inaccessible, according to the Privacy Policy and applicable agreements.
CorePixel is not responsible for data loss after the retention period or grace period ends, especially if the Client does not request data export within a reasonable time.
24. Confidentiality
Each party must keep confidential non-public information obtained during cooperation, including business strategies, customer data, patient data, financial data, credentials, source code, internal documents, product plans, technical information, and other information reasonably considered confidential.
Confidentiality obligations do not apply to information that:
- is publicly available without breach of obligation;
- was lawfully possessed before being received from the disclosing party;
- is lawfully received from a third party without confidentiality obligation;
- is independently developed without using confidential information;
- must be disclosed under law, court decision, or request of competent authority.
Confidentiality obligations survive termination of cooperation.
25. Force Majeure
Both parties are released from liability for delay or failure to perform obligations caused by circumstances outside reasonable control, including natural disasters, pandemics, epidemics, fire, flood, earthquake, war, riots, large-scale internet or electricity disruption, major cyberattacks, third-party service failures, government policy changes, authority actions, or other events that could not reasonably be prevented.
The party experiencing force majeure must notify the other party within a reasonable time and seek to minimize its impact.
26. PSE Compliance and Sector Regulations
CorePixel will seek to fulfill legal obligations applicable to CorePixel as a digital service provider, including obligations related to Private Scope Electronic System Operators where applicable to the services we operate.
For systems, websites, applications, platforms, or services owned or operated by the Client, the Client is responsible for ensuring compliance with licensing, PSE registration, sector regulations, consumer protection, personal data, electronic commerce, health, beauty, law, finance, education, or other regulations applicable to the Client's business.
CorePixel may assist certain technical or administrative compliance aspects if agreed in writing, but is not responsible for the Client's failure to fulfill legal obligations for its own business sector.
27. Changes to Services and Terms
CorePixel may update, change, add, limit, or discontinue certain Service features from time to time, including for security, technical, legal, business, or third-party policy reasons.
CorePixel may also update these Terms from time to time. The latest version will be available on the CorePixel website or other relevant channels. For material changes, CorePixel will seek to provide notice through email, dashboard, website, invoice, or other reasonable communication channels.
Continued use of the Services after changes take effect is considered acceptance of the updated Terms, to the extent permitted by law. If a change requires specific consent, CorePixel will request that consent according to applicable requirements.
28. Governing Law and Dispute Resolution
These Terms are governed by and interpreted according to the laws of the Republic of Indonesia.
Any dispute arising from or relating to these Terms or the Services will first be resolved through deliberation for consensus for 30 calendar days from the date one party submits written dispute notice.
If deliberation does not resolve the dispute, the dispute will be resolved through the District Court of Kabupaten Banjar as the forum agreed by the parties, unless applicable laws require otherwise or the parties agree in writing to another dispute resolution mechanism.
29. Miscellaneous
- Severability: if any provision of these Terms is declared invalid, ineffective, or unenforceable, the remaining provisions remain fully effective to the extent not contrary to law.
- Waiver: failure or delay by either party in enforcing a provision is not considered a waiver of that right.
- Assignment: the Client may not assign rights or obligations under these Terms without written consent from CorePixel. CorePixel may assign rights or obligations to affiliates, business successors, or other parties in connection with restructuring, merger, acquisition, or business transfer, provided it does not unreasonably reduce the Client's material rights.
- Relationship of the parties: nothing in these Terms creates an employment, partnership, joint venture, agency, or legal-representative relationship between the Client and CorePixel.
